Research origin and commercial execution stay distinct

XG Capital Strategies is the research origin and retains foundational research and IP. Kairos Dynamics is a separate company in formation, intended to productize selected XGCS research into software for evidence, context, coordination, and authority. The licence between them is planned and has not been executed.

Two entities with different jobs

The separation is deliberate. XGCS remains the research origin and retains foundational pre-existing work and internal activities. Kairos is intended to become the product company investors and customers engage with.

Foundational research + retained activities

XGCS remains the origin of Ebb & Flow, Heatmap Strategy Lab research, internal market research, publications, and unrelated programs, and retains the foundational research and IP. Its research discipline preserves failures, separates generation from qualification, and watches survivors forward before trust is increased. Selected pre-existing technology is intended to be licensed to Kairos. That licence is planned and has not been executed.

Commercial constraint-control software

Kairos is being formed to productize selected research into four control systems: Invariant for evidence, Context Passport for portable scoped context, Valence for privacy-preserving coordination, and Lightcone for bounded authority. Invariant is the first commercial wedge, beginning with delegated recurring research for systematic funds, prop firms, and quant teams.

Current status: Kairos Dynamics is still in formation and the XGCS-to-Kairos technology license is planned but not yet executed. Final corporate, IP, securities, employment, and governance documents require counsel.
Where investment interest goes: XG Capital Strategies is not raising capital and does not accept investors. The investor material on this estate concerns Kairos Dynamics, and nothing on it is an offer of securities in either company.
